The annual general meeting of German Remedies Ltd, a Zydus Cadila Healthcare group company, will be held as scheduled tomorrow at Yashvantarao Chauhan Auditorium in the city at 3 pm.
Amid reports that the city will be brought to a standstill after a nationwide bandh call in the wake of the terrorist attack in a Gujarat temple, the company has decided there will be no change in its programme.
The company has to hold the AGM before September 30 if the annual accounts are closed on March 31, 2002. Essentially, this means that the AGM has to be conducted within six months of closure of annual accounts. "To postpone an AGM is not very easy as it would entail sending notices all over again and giving 21 days'''' time for the shareholders" a company source said.
Since such a notice period would change the month to October, the company will have to take a special permission from the Registrar of Companies. The company does not want to get into these troubles, the source said.
The AGM can be held if there are five shareholders who constitute the quorum. The company has already arranged for the presence of these shareholders by putting them up in a city hotel.
